YOO.ID APPLICANT TERMS AND CONDITIONS

By applying to register with YOO.ID you are consenting to these Terms and Conditions and you should read these Terms and Conditions carefully before submitting your application as they will be binding upon you.

1. Definitions

1.1. “The Application” shall mean the Application made by You for YOO.ID which you submit online to Us.

1.2. “Your Address” shall mean your full home postal Address (we do not accept PO Box addresses) made by You for your YOO.ID product of which you have provided the Address to Us in the Application.

1.3. “The Contact Telephone” shall mean the mobile or landline telephone of which you have provided the number to Us in the Application.

1.4. “The Information” shall mean such information, photographic or other imagery, audio or voice recordings, or documents as is provided by You to Us as requested or required in the Application or otherwise by Us.

1.5. “YOO.ID” means the system devised by Us to assist You in verifying Your name, address and identity in a digital manner.

1.6. “Loss” means losses, costs, damages, injuries, accidents or claims (whether direct or indirect) suffered by You in connection with Your Application and/or the use by You or on Your behalf of YOO.ID.

1.7. “Misconduct” includes failure to comply with these Terms and Conditions, attempting to obtain YOO.ID by submission of false or fraudulent information, misusing YOO.ID and misconduct in dealing with Our Staff or Traders or members of the public.

1.8. “Proof of Age” means such proof of Your date of birth as may be deemed by Us to be acceptable in Our reasonable discretion.

1.9. “Sponsors and Traders” shall mean such commercial organisations or individuals whom We in Our discretion permit to use the YOO.ID system or Our facility for Voice Broadcast Alerts.

1.10. “We/Us” shall mean YOO.ID company No: 09378050 Registered Office 162-164 High Street, Digbeth, Birmingham, B12 0LD

1.11. “You” shall mean the person who has made the Application for YOO.ID and therefore has accepted these Terms and Conditions accordingly.

2. The Application

2.1. By submitting the Application to Us, You are deemed to accept these Terms and Conditions.

2.2. By submitting the Application to Us, You undertake to Us and assume contractual liability to Us for the accuracy of the Information contained in the Application and any Information supplied by You before You make the Application or subsequently.

2.3. The fact that You have submitted an Application to Us does not bind Us to accept Your Application or to enter into any Contractual Obligations with You until We have confirmed to You, by sending an email to the email address provided in Your Application, that We have accepted Your Application, whereupon a contractual relationship incorporating these Terms and Conditions shall be formed.

2.4. By submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone, this helps to keep the service FREE.

2.5. By submitting the Application to Us, You agree to confirm the mobile telephone number on Your account and note the following;

• YOO.ID requires an active telephone number to create an account;

• To verify your telephone number and before you can log into your account, you agree to receive a 6-digit verification code via text message which needs to be inputted into the website;

• The text message is sent from a U.K. number;

• If you are an international user your service provider may charge you an international SMS fee;

• You may also have to enable international text messaging with your provider;

• You may also need to ask your network provider if they automatically default their numbers to an international DNC (do not call) list, if they do, you should ask for your number to be removed from the list, otherwise the verification code will not be sent.

3. Change to Information

3.1. If any part of the Information that You have supplied to Us changes, such as for example (but not limited to) Your address or contact details, You must immediately notify Us by email to admin@yoo.id of any such changes.

3.2. Upon receipt of any such changed Information from You, We may request further identity or Verification Checks and in Our discretion may at that point withdraw further provision of the YOO.ID service to You.

4. Protection of Data

4.1. We are registered as a Data Processor ZA125412 under the Data Protection Act 1998.

4.2. The Data which is processed by Us in connection with an Application includes:

• Personal Data supplied by the Applicant, such as name, signature, date of birth, home address and other contact details; and

• Personal Data supplied, if required, by any person verifying Your details or by Your parent or legal guardian, such as name, signature, occupation, work address and other contact details.

4.3. The purpose for which Data may be processed by Us include:

• Validating your personal details including your mobile or landline telephone number;

• Validating the personal details of any party verifying Your Application, or of Your parent or legal guardian;

• Providing customer service to You or any party verifying Your details, or Your parent or legal guardian if You are under 16;

• Accounting and audit, safety and security, fraud prevention and investigation, systems testing, development and maintenance;

• Customer relations, service recovery and assisting Us in future details with You;

• Marketing and market research analysis;

• Communicating to You information about YOO.ID or any other products;

• Conducting market research; and

• Any other purpose which is obvious or is communicated to You.

4.4. If You wish to have Your Data removed permanently from Our records please email admin@yoo.id whereupon We will terminate Your Membership of YOO.ID and will take all reasonable steps as soon as practicable to remove Your Information from Our records.

4.5. You acknowledge that we may upload to our server Data concerning You including such Information and images as You have provided to us.

4.6. We may use location-based services in order to perform the Services as efficiently as possible. Information that we collect from you through the use of these services shall be collected and stored in accordance with the terms of our Privacy Policy. By accepting these Terms you consent to our use of location-based services.

5. Our Obligations

5.1. Upon receipt of appropriate and accurate Information from You and upon our having notified You by email that Your Application has been accepted, We shall provide You with use of the YOO.ID system.

5.2. We do not accept any liability for any error which may be encountered for reasons beyond Our control in Your using the YOO.ID system, either when making a purchase, dealing with a Trader or otherwise.

5.3. We make no warranty in respect of the number or nature of stores, outlets or Traders who may use or recognise the YOO.ID system.

5.4. Subject as above, We will take reasonable care, in accordance with Our Obligations as a Data Processor, to protect Your Information and Data.

6. Your Obligations

6.1. You undertake to Us and warrant with Us so as to create a contractual liability to Us that all and any Information supplied by You to Us, whether in the Application or otherwise, is complete and accurate.

6.2. You acknowledge that the Contract between us is one of utmost good faith; that is to say, if You consider that You have Information which might affect Our decision as to whether or not to accept the Application by You, You will provide that Information to Us forthwith that You become aware of it.

6.3. You also undertake and warrant with Us so as to create a contractual liability to Us that You will provide full details of any change in Your address or other Information supplied by You to Us immediately.

7. Verification Checks

7.1. You understand that We will undertake Verification Checks, the extent of which will be within Our discretion, as to Your identity, including Your name, date of birth, address and any other details which We consider to be relevant and You consent to Our undertaking all such checks and utilising Information in that process.

7.2. You understand and consent that in Our discretion We may require a third party to provide Verification of Your name, address and identity, whose contact details We will request from You if not already supplied to Us.

7.3. If You have already supplied to Us contact details of a person who is to act as a verifier of any of Your Information, You hereby consent to Us contacting that person to verify the Information and disclosing the Information and any Data that We have concerning You to that person.

7.4. If You are under 16 years of age at the date of this Application, You consent that We may approach Your parent(s) or guardian to obtain Verification of Your identity, including Your name, address and date of birth and that We may use any Information or Data that We hold for that purpose.

7.5. You understand We may use external credit agencies such as Experian, Call Credit, Equifax, to carry out an electoral roll check & identity check and these checks may leave a mark on your credit file.

8. Fees for Membership

8.1. There is no charge for downloading the app for the use of verification purposes or for setting up a YOO.ID. In accordance with clause 2.4 above, by submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone, this helps to keep the app FREE.

9. Voice Broadcasts

9.1. We shall send to the Contact Telephone regular Voice Broadcast Alerts and they will come from telephone number +448008886644.

9.2. We shall attempt to meet a broad range of requirements of the type of product or deals about which You may wish to hear.

9.3. We shall only provide Voice Broadcast Alerts to You from our Sponsors & Traders and they will be handled, controlled and broadcast by US only.

9.4. We shall not charge You for Our service.

9.5 When receiving a Voice Broadcast Alert You can opt out at anytime by pressing 9 on your telephone keypad or by calling +448008886644 Your number will then be added to our Do Not Call (DNC) list and You acknowledge that opting out of receiving Voice Broadcast Alerts may impact your use of the Services.

10. Your Consent

10.1. By submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone.

10.2. By designating the Contact Telephone You have consented to that phone being available to receive Voice Broadcast Alerts and that the Contact Telephone is in Your possession and use.

10.3. By submitting the Application You have consented to receiving such Voice Broadcast Alerts as We in Our discretion shall consider to be appropriate, except that at no time will any threatening or offensive material be included in any Voice Broadcast Alert.

11. No Warranties

11.1. It is not part of Our service to insure and We do not make any warranty as to the value, quality or suitability of any product or service which may be mentioned or alluded to in any Voice Broadcast Alert.

11.2. We do not make any warranty as to the skill or integrity of any person or organisation from or in respect of whom or which a Voice Broadcast Alert is sent to You.

11.3. In the event that You have any complaint as to a service or product You should take that complaint up with the person or organisation with whom You have dealt rather than Ourselves.

12. Regularity and Frequency of Voice Broadcast Alerts

12.1. We make no promises about how often We will send Voice Broadcast Alerts to the Contact Telephone nor as to the number of such Voice Broadcast Alerts. We can anticipate about 2 voice broadcasts per month with a duration of between 30 and 60 seconds.

12.2. We do not charge You for this service and in Our discretion We may restrict or withdraw the service at any time.

13. Acceptable Use Policy

13.1. Irrespective of which Product you have subscribed to, our Acceptable Use Policy (“AUP”) will apply to you and those who you allow to use YOO.ID. If you have any queries about our AUP, you can contact us by emailing admin@yoo.id

14. Don’t Use YOO.ID Illegally

14.1. YOO.ID may only be used for lawful purposes in accordance with all laws, statutes and regulations in force from time to time in the United Kingdom (“Laws”).

14.2. You may not use YOO.ID to send, receive, store, distribute, transmit, post, upload or download any materials or data which:

• violates any Law;

• is defamatory, offensive, abusive, indecent, obscene, or constitutes harassment;

• is or may be harmful to minors;

• promotes or encourages illegal or socially unacceptable or irresponsible behaviour;

• is in breach of any third party rights (including any third party intellectual property rights);

• has any fraudulent purpose or effect or involves you impersonating another person or otherwise misrepresenting yourself as the source of any communication; or

• damages or may damage our name and/or reputation or the name and/or reputation of our sub-contractors or agents.

15. The Actions We Take

15.1. Firstly, you should be aware that we will block any electronic communication that we reasonably consider to have breached this AUP.

15.2. Secondly, if you have breached this AUP, or we or a third party, reasonably suspect that you may have breached this AUP we will notify you by email (provided that this notification does not prejudice any investigation) and we may also:

(a) immediately suspend your access to YOO.ID until such time as we are satisfied the breach has stopped;

(b) immediately end your YOO.ID Contract;

(c) notify and/or pass on the details of the breach of the AUP to any relevant government, statutory, self-regulatory or law enforcement authority;

(d) investigate the alleged breach of the AUP, which may include gathering information from you and/or the complaining party (if any) and the examination of any other data or material on the YOO.ID network or our servers;

(e) remove (either temporarily or permanently), copy, store, monitor or otherwise deal with data and/or other material on the YOO.ID network and/or our servers; or

15.3. YOO.ID will use your personal data and other account information in connection with any investigation carried out by YOO.ID in accordance with this AUP, including by disclosing it to any third party authority that YOO.ID considers has a legitimate interest in any such investigation or its outcome.

16. Advertising and Publicity Material

16.1. In Our discretion, We may provide advertising or publicity material to You.

16.2. You acknowledge that any advertising or publicity material supplied to You may not be used by You or passed on to any third parties without Our consent.

17. Intellectual Property

17.1. You acknowledge that the Intellectual Property in the YOO.ID system is owned by Us.

17.2. You acknowledge and contract that You will not use or copy the YOO.ID system or any material, publicity or information connected with it without Our express consent in writing.

18. Extent of Our Liabilities

18.1. In the case of any breach or alleged breach by Us to You of our Obligations to You under the Contractual relations between us, the extent of Our Liability shall in any event be limited to the amount of the annual Membership Fee last paid by You.

18.2. We shall not in any event be liable for any consequential losses to You in respect of any breach by Us.

18.3. We make no warranty as to the extent to which the Website or the Directory is publicised or accessible on the internet or otherwise.

19. Limitation of Liability

19.1. In the event that We do not accept Your Application, there will be no Contract between us and We will have no liability for any Loss arising.

19.2. We will not be liable for any Loss if, by reason of local or regulatory prohibitions or restrictions, You are unable to use the YOO.ID system.

19.3. We will not be liable for any failure by a Trader, shop or outlet or other third party to accept the YOO.ID.

19.4. Our liability for negligence, breach of Contract or any other matter is limited to reimbursing any sums paid by You for the YOO.ID system.

20. Entire Agreement

20.1. The provisions of these Terms and Conditions, together with the duly completed Application by You and Our acceptance of it, shall constitute the entire Contract between Us and You.

20.2. You accept and understand that You have not placed reliance upon any representations or statements, whether pre-contractual or otherwise, made by Us or on Our behalf, nor has any Side Agreement been entered into in respect of the Contract between You and Us.

21. Force Majeure

21.1. You understand and acknowledge that in the case of any circumstances beyond Our control which may make it impossible, or limit Our ability, to maintain the YOO.ID system, We shall not be liable to You for any losses in relation to the same.

21.2. You further acknowledge that in the case of any legal issues arising which may prevent or limit Our ability to provide the FACE ID system or to maintain Your Membership of it, We shall not be liable for any liability arising to You as a result.

22. Jurisdiction and Governing Law

22.1. It is agreed that in any case the Courts of England and Wales shall have Jurisdiction in respect of any matters arising between You and Us and the Governing Law in each case shall be the Law of England and Wales.

By applying to register with YOO.ID you are consenting to these Terms and Conditions and you should read these Terms and Conditions carefully before submitting your application as they will be binding upon you.

1. Definitions

1.1. “The Application” shall mean the Application made by You for YOO.ID which you submit online to Us.

1.2. “Your Address” shall mean your full home postal Address (we do not accept PO Box addresses) made by You for your YOO.ID product of which you have provided the Address to Us in the Application.

1.3. “The Contact Telephone” shall mean the mobile or landline telephone of which you have provided the number to Us in the Application.

1.4. “Consumer(s)” shall mean members of the public with whom You trade, negotiate, treat or deal.

1.5. “The FACE ID Scheme” shall mean the system that We have set up, whereby Consumers, or potential Consumers, have supplied Information to Us with an Application which We have accepted and have provided to them a method digitally to demonstrate to business traders and outlets the identity and associated Information of such Consumers or potential Consumers.

1.6. “The Information” shall mean such information, photographic or other imagery, audio or voice recordings, or documents as is provided by You to Us as requested or required in the Application or otherwise by Us.

1.7. “YOO.ID” means the system devised by Us to assist You in verifying Your name, address and identity in a digital manner.

1.8. “Loss” means losses, costs, damages, injuries, accidents or claims (whether direct or indirect) suffered by You in connection with Your Application and/or the use by You or on Your behalf of YOO.ID.

1.9. “Licence Requirements” shall mean the compliance by You with all such Licence or Permission that you are required by any laws, bye-laws or regulations to hold at all or any relevant times to enable you lawfully to trade or to operate in your business.

1.10. “Misconduct” includes failure to comply with these Terms and Conditions, attempting to obtain YOO.ID by submission of false or fraudulent information, misusing YOO.ID, failing to obtain, maintain or comply with the Licence Requirements and misconduct in dealing with Our Staff or Traders or members of the public.

1.11. “Proof of Age” means such proof of Your date of birth as may be deemed by Us to be acceptable in Our reasonable discretion.

1.12. “Sponsors and Traders” shall mean such commercial organisations or individuals whom We in Our discretion permit to use the YOO.ID system or Our facility for Voice Broadcast Alerts.

2.2. By submitting the Application to Us, You undertake to Us and assume contractual liability to Us for the accuracy of the Information contained in the Application, compliance with the Licence Requirements and any Information supplied by You before You make the Application or subsequently.

2.3. The fact that You have submitted an Application to Us does not bind Us to accept Your Application or to enter into any Contractual Obligations with You until We have confirmed to You, by sending an email to the email address provided in Your Application, that We have accepted Your Application, whereupon a contractual relationship incorporating these Terms and Conditions shall be formed.

2.4. By submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone, this helps to keep the service FREE for consumers.

2.5. By submitting the Application to Us, You agree to confirm the mobile telephone number on Your account and note the following;

• YOO.ID requires an active telephone number to create an account;

3. Change to Information

3.1. If any part of the Information that You have supplied to Us changes, such as for example (but not limited to) Your address or contact details or details of the Licence Requirements, You must immediately notify Us by email to admin@yoo.id of any such changes.

3.2. Upon receipt of any such changed Information from You, We may request further identity or Verification Checks and in Our discretion may at that point withdraw further provision of the YOO.ID service to You.

4. Protection of Data

• Verifying your compliance with the Licence Requirements;

• Validating the personal details of any party verifying Your Application;

• Providing customer service to You or any party verifying Your details;

• Accounting and audit, safety and security, fraud prevention and investigation, systems testing, development and maintenance;

• Customer relations, service recovery and assisting Us in future details with You;

• Marketing and market research analysis;

• Communicating to You information about YOO.ID or any other products;

• Conducting market research; and

• Any other purpose which is obvious or is communicated to You.

4.4. If You wish to have Your Data removed permanently from Our records please email admin@yoo.id whereupon We will terminate Your Membership of YOO.ID and will take all reasonable steps as soon as practicable to remove Your Information from Our records.

4.5. You will at all times take reasonable and proper steps to protect data and the Information of Consumers or potential Consumers or others.

4.6. You acknowledge that we may upload to our server Data concerning You including such Information and images as You have provided to us.

4.7 We may use location-based services in order to perform the Services as efficiently as possible. Information that we collect from you through the use of these services shall be collected and stored in accordance with the terms of our Privacy Policy. By accepting these Terms you consent to our use of location-based services.

5. Verification Checks

5.1. You understand that We will undertake Verification Checks, the extent of which will be within Our discretion, as to Your identity, including Your name, date of birth, address, compliance with the Licence Requirements and any other details which We consider to be relevant and You consent to Our undertaking all such checks and utilising Information in that process.

5.2. You hereby consent to us contacting any relevant person, body or authority to verify your compliance with the Licence Requirements.

5.3. You understand and consent that in Our discretion We may require a third party to provide Verification of Your name, address and identity and if We do so We will seek Your permission to approach such person, whose contact details We will request from You if not already supplied to Us.

5.4. If You have already supplied to Us contact details of a person who is to act as a verifier of any of Your Information, You hereby consent to Us contacting that person to verify the Information and disclosing the Information and any Data that We have concerning You to that person.

5.5. You understand We may use external credit agencies such as Experian, Call Credit, Equifax, to carry out an electoral roll check, bankruptcy check, identity & credit check and these checks may leave a mark on your credit file.

6. Our Obligations

6.1. Upon receipt of appropriate and accurate Information from You and upon our having notified You by email that Your Application has been accepted, We shall provide You with use of the YOO.ID system.

6.2. We do not accept any liability for any error which may be encountered for reasons beyond Our control in Your using the YOO.ID system, either when making a purchase, dealing with a Trader or otherwise.

6.3. We make no warranty in respect of the number or nature of customers, consumers or others who may use or recognise the YOO.ID system.

6.4. Subject as above, We will take reasonable care, in accordance with Our Obligations as a Data Processor, to protect Your Information and Data.

7. Your Obligations

7.1. You undertake to Us and warrant with Us so as to create a contractual liability to Us that all and any Information supplied by You to Us, whether in the Application or otherwise, is complete and accurate.

7.2. You acknowledge that the Contract between us is one of utmost good faith; that is to say, if You consider that You have Information which might affect Our decision as to whether or not to accept the Application by You, You will provide that Information to Us forthwith that You become aware of it.

7.3. You also undertake and warrant with Us so as to create a contractual liability to Us that You will provide full details of any change in Your address or other Information supplied by You to Us immediately.

8. Fees for Membership

8.1. The Fee for Membership of the YOO.ID scheme is a charge of £40.00 (+ vat) which is payable when You submit the Application to Us and covers Membership of the FACE ID scheme for a period of 6 months.

8.2. If We do not accept Your Application We will return 100% of the payment to You. Once your application is accepted no refunds will be offered.

8.3. Should You wish to renew Your Membership at the end of a period of 6 months, then if we have taken Direct Debit or card payment details from You, a further payment of £40.00 (+ vat) may be taken at the end of the 6 month period and Your Membership will in that case renew automatically, provided that We may at any time elect not to renew Your Membership at the expiry of any period of 6 months and We may make that decision without prior notice to You.

9. Duration of Membership

9.1. Subject as below, Your Trade Membership shall be for a period of six months commencing on the date Your payment is received.

9.2. We may terminate Your Trade Membership before the expiry of the 6 month term for any reason or whether based on information supplied to Us from Consumers or otherwise, in respect of which We are not obliged to provide information to You as to Our reasons nor to divulge source or content of information supplied to Us. In the case of such termination, then unless the reason for the termination is that information You provided to Us was untrue or misleading (in which case Your Membership will be terminated without any refund to You), We shall refund to You a proportionate amount of the Membership Fee taken by calculating the number of whole, clear days remaining in Your Membership, dividing that figure by 365 and multiplying the Membership Fee paid by You by the resulting fraction.

9.3. In the event that Your Trade Membership is terminated We will remove Your name and details from the Directory but we do not assume any obligation to provide any information to any third parties whether on the Website or the Directory or otherwise that Your Membership has been terminated or the reason for such termination.

10. Voice Broadcasts

10.1. We shall send to the Contact Telephone regular Voice Broadcast Alerts. Voice Broadcast Alerts will come from telephone number +448008886644

10.2. We shall attempt to meet a broad range of requirements of the type of product or deals about which You may wish to hear.

10.3. We shall only provide Voice Broadcast Alerts to You from our Sponsors & Traders and they will be handled, controlled and broadcast by US only.

10.4. We shall not charge You for Our Voice Broadcast service (receiving alterts).

10.5 When receiving a Voice Broadcast Alert You can opt out at anytime by pressing 9 on your telephone keypad or by calling +448008886644 Your number will then be added to our Do Not Call (DNC) list and You acknowledge that opting out of receiving Voice Broadcast Alerts may impact your use of the Services.

11. Your Consent

11.1. By submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone.

11.2. By designating the Contact Telephone You have consented to that phone being available to receive Voice Broadcast Alerts and that the Contact Telephone is in Your possession and use.

11.3. By submitting the Application You have consented to receiving such Voice Broadcast Alerts as We in Our discretion shall consider to be appropriate, except that at no time will any threatening or offensive material be included in any Voice Broadcast Alert.

12. No Warranties

12.1. It is not part of Our service to insure and We do not make any warranty as to the value, quality or suitability of any product or service which may be mentioned or alluded to in any Voice Broadcast Alert.

12.2. We do not make any warranty as to the skill or integrity of any person or organisation from or in respect of whom or which a Voice Broadcast Alert is sent to You.

12.3. In the event that You have any complaint as to a service or product You should take that complaint up with the person or organisation with whom You have dealt rather than Ourselves.

13. Regularity and Frequency of Voice Broadcast Alerts

13.1. We make no promises about how often We will send Voice Broadcast Alerts to the Contact Telephone nor as to the number of such Voice Broadcast Alerts. We can anticipate about 2 voice broadcasts per month with a duration of between 30 and 60 seconds.

13.2. We do not charge You for this service and in Our discretion We may restrict or withdraw the service at any time.

14. Acceptable Use Policy

14.1. Irrespective of which Product you have subscribed to, our Acceptable Use Policy (“AUP”) will apply to you and those who you allow to use YOO.ID. If you have any queries about our AUP, you can contact us by emailing admin@yoo.id

15. Don’t Use YOO.ID Illegally

15.1. YOO.ID may only be used for lawful purposes in accordance with all laws, statutes and regulations in force from time to time in the United Kingdom (“Laws”).

15.2. You may not use YOO.ID to send, receive, store, distribute, transmit, post, upload or download any materials or data which:

• violates any Law;

• is defamatory, offensive, abusive, indecent, obscene, or constitutes harassment;

• is or may be harmful to minors;

• promotes or encourages illegal or socially unacceptable or irresponsible behaviour;

• is in breach of any third party rights (including any third party intellectual property rights);

• has any fraudulent purpose or effect or involves you impersonating another person or otherwise misrepresenting yourself as the source of any communication; or

• damages or may damage our name and/or reputation or the name and/or reputation of our sub-contractors or agents.

16. The Actions We Take

16.1. Firstly, you should be aware that we will block any electronic communication that we reasonably consider to have breached this AUP.

16.2. Secondly, if you have breached this AUP, or we or a third party, reasonably suspect that you may have breached this AUP we will notify you by email (provided that this notification does not prejudice any investigation) and we may also:

(a) immediately suspend your access to YOO.ID until such time as we are satisfied the breach has stopped;

(b) immediately end your YOO.ID Contract;

(c) notify and/or pass on the details of the breach of the AUP to any relevant government, statutory, self-regulatory or law enforcement authority;

(d) investigate the alleged breach of the AUP, which may include gathering information from you and/or the complaining party (if any) and the examination of any other data or material on the YOO.ID network or our servers;

(e) remove (either temporarily or permanently), copy, store, monitor or otherwise deal with data and/or other material on the YOO.ID network and/or our servers; or

16.3. YOO.ID will use your personal data and other account information in connection with any investigation carried out by YOO.ID in accordance with this AUP, including by disclosing it to any third party authority that YOO.ID considers has a legitimate interest in any such investigation or its outcome.

17. Advertising and Publicity Material

17.1. In Our discretion We may provide advertising or publicity material to You.

17.2. You acknowledge that any advertising or publicity material supplied to You may not be used by You or passed on to any third parties without Our consent.

18. Intellectual Property

18.1. You acknowledge that the Intellectual Property in the YOO.ID system is owned by Us.

18.2. You acknowledge and contract that You will not use or copy the YOO.ID system or any material, publicity or information connected with it without Our express consent in writing.

19. Extent of Our Liabilities

19.1. In the case of any breach or alleged breach by Us to You of our Obligations to You under the Contractual relations between us, the extent of Our Liability shall in any event be limited to the amount of the annual Membership Fee last paid by You.

19.2. We shall not in any event be liable for any consequential losses to You in respect of any breach by Us.

19.3. We make no warranty as to the extent to which the Website or the Directory is publicised or accessible on the internet or otherwise.

20. Limitation of Liability

20.1. In the event that We do not accept Your Application, there will be no Contract between us and We will have no liability for any Loss arising.

20.2. We will not be liable for any Loss if, by reason of local or regulatory prohibitions or restrictions, You are unable to use the YOO.ID system.

20.3. We will not be liable for any failure by a Trader, shop or outlet or other third party to accept the YOO.ID.

20.4. Our liability for negligence, breach of Contract or any other matter is limited to reimbursing any sums paid by You for the FACE ID system.

21. Entire Agreement

21.1. The provisions of these Terms and Conditions, together with the duly completed Application by You and Our acceptance of it, shall constitute the entire Contract between Us and You.

21.2. You accept and understand that You have not placed reliance upon any representations or statements, whether pre-contractual or otherwise, made by Us or on Our behalf, nor has any Side Agreement been entered into in respect of the Contract between You and Us.

22. Force Majeure

22.1. You understand and acknowledge that in the case of any circumstances beyond Our control which may make it impossible, or limit Our ability, to maintain the YOO.ID system, We shall not be liable to You for any losses in relation to the same.

22.2. You further acknowledge that in the case of any legal issues arising which may prevent or limit Our ability to provide the FACE ID system or to maintain Your Membership of it, We shall not be liable for any liability arising to You as a result.

23. Jurisdiction and Governing Law

23.1. It is agreed that in any case the Courts of England and Wales shall have Jurisdiction in respect of any matters arising between You and Us and the Governing Law in each case shall be the Law of England and Wales.

TERMS AND CONDITIONS OF BUSINESS USERS OF YOO.ID

By applying to register with YOO.ID you are consenting to these Terms and Conditions and you should read these Terms and Conditions carefully before submitting your application as they will be binding upon you.

1. Definitions

1.1. “The Application” shall mean the Application made by You for YOO.ID which you submit online to Us.

1.2. “Your Address” shall mean your full home postal Address (we do not accept PO Box addresses) made by You for your YOO.ID product of which you have provided the Address to Us in the Application.

1.3. “The Contact Telephone” shall mean the mobile or landline telephone of which you have provided the number to Us in the Application.

1.4. “Consumer(s)” shall mean members of the public with whom You trade, negotiate, treat or deal.

1.5. “The FACE ID Scheme” shall mean the system that We have set up, whereby Consumers, or potential Consumers, have supplied Information to Us with an Application which We have accepted and have provided to them a method digitally to demonstrate to business traders and outlets the identity and associated Information of such Consumers or potential Consumers.

1.6. “The Information” shall mean such information, photographic or other imagery, audio or voice recordings, or documents as is provided by You to Us as requested or required in the Application or otherwise by Us.

1.7. “YOO.ID” means the system devised by Us to assist You in verifying Your name, address and identity in a digital manner.

1.8. “Loss” means losses, costs, damages, injuries, accidents or claims (whether direct or indirect) suffered by You in connection with Your Application and/or the use by You or on Your behalf of YOO.ID.

1.9. “Licence Requirements” shall mean the compliance by You with all such Licence or Permission that you are required by any laws, bye-laws or regulations to hold at all or any relevant times to enable you lawfully to trade or to operate in your business.

1.10. “Misconduct” includes failure to comply with these Terms and Conditions, attempting to obtain YOO.ID by submission of false or fraudulent information, misusing YOO.ID, failing to obtain, maintain or comply with the Licence Requirements and misconduct in dealing with Our Staff or Traders or members of the public.

1.11. “Proof of Age” means such proof of Your date of birth as may be deemed by Us to be acceptable in Our reasonable discretion.

1.12. “Sponsors and Traders” shall mean such commercial organisations or individuals whom We in Our discretion permit to use the YOO.ID system or Our facility for Voice Broadcast Alerts.

1.13. “We/Us” shall mean YOO.ID company No: 09378050 Registered Office 162-164 High Street, Digbeth, Birmingham, B12 0LD

1.14. “You” shall mean the person who has made the Application for YOO.ID and therefore has accepted these Terms and Conditions accordingly.

2. The Application

2.1. By submitting the Application to Us, You are deemed to accept these Terms and Conditions.

2.2. By submitting the Application to Us, You undertake to Us and assume contractual liability to Us for the accuracy of the Information contained in the Application and any Information supplied by You before You make the Application or subsequently.

2.3. The fact that You have submitted an Application to Us does not bind Us to accept Your Application or to enter into any Contractual Obligations with You until We have confirmed to You, by sending an email to the email address provided in Your Application, that We have accepted Your Application, whereupon a contractual relationship incorporating these Terms and Conditions shall be formed.

2.4. By submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone, this helps to keep the service FREE for consumers.

2.5. By submitting the Application to Us, You agree to confirm the mobile telephone number on Your account and note the following;

• YOO.ID requires an active telephone number to create an account;

• To verify your telephone number and before you can log into your account, you agree to receive a 6-digit verification code via text message which needs to be inputted into the website;

• The text message is sent from a U.K. number;

• If you are an international user your service provider may charge you an international SMS fee;

• You may also have to enable international text messaging with your provider;

• You may also need to ask your network provider if they automatically default their numbers to an international DNC (do not call) list, if they do, you should ask for your number to be removed from the list, otherwise the verification code will not be sent.

3. Change to Information

3.1. If any part of the Information that You have supplied to Us changes, such as for example (but not limited to) Your address or contact details, You must immediately notify Us by email to admin@yoo.id of any such changes.

3.2. Upon receipt of any such changed Information from You, We may request further identity or Verification Checks and in Our discretion may at that point withdraw further provision of the YOO.ID service to You.

4. Protection of Data

4.1. We are registered as a Data Processor ZA125412 under the Data Protection Act 1998.

4.2. The Data which is processed by Us in connection with an Application includes:

• Personal Data supplied by You or by Consumers, such as name, signature, date of birth, home address and other contact details; and

• Personal Data supplied, if required, by any person verifying details of You or of a Consumer or by a Consumer’s parent or legal guardian, such as name, signature, occupation, work address and other contact details.

4.3. The purpose for which Data may be processed by Us include:

• Validating any personal details including your mobile telephone number;

• Validating the personal details of any party verifying Your Application or a Consumer’s Application;

• Providing customer service to You or any party verifying a Consumer’s details, or to a Consumer’s parent or legal guardian if the Consumer is under 16;

• Accounting and audit, safety and security, fraud prevention and investigation, systems testing, development and maintenance;

• Customer relations, service recovery and assisting Us in future dealings with You or a Consumer;

• Marketing and market research analysis;

• Communicating to You or a Consumer information about YOO.ID or any other products;

• Conducting market research; and

• Any other purpose which is obvious or is communicated to You or a Consumer.

4.4. If You wish to have Your Data removed permanently from Our records please email admin@yoo.id , whereupon We will terminate Your access to the FACE ID Scheme and will take all reasonable steps as soon as practicable to remove Your Information from Our records.

4.5. You will at all times take reasonable and proper steps to protect data and the Information of Consumers or potential Consumers or others.

4.6. You acknowledge that we may upload to our server Data concerning You including such Information and images as You have provided to us.

4.7 We may use location-based services in order to perform the Services as efficiently as possible. Information that we collect from you through the use of these services shall be collected and stored in accordance with the terms of our Privacy Policy. By accepting these Terms you consent to our use of location-based services.

5. Verification Checks

5.1. You understand that We may undertake Verification Checks, the extent of which will be within Our discretion, as to Your identity, including Your name, date of birth, address and any other details which We consider to be relevant and You consent to Our undertaking all such checks and utilising Information in that process.

5.2. You understand and consent that in Our discretion We may require a third party to provide Verification of Your name, address and identity and if We do so We will seek Your permission to approach such person, whose contact details We will request from You if not already supplied to Us.

5.3. If You have already supplied to Us contact details of a person who is to act as a verifier of any of Your Information, You hereby consent to Us contacting that person to verify the Information and disclosing the Information and any Data that We have concerning You to that person.

6. Our Obligations

6.1. Upon receipt of appropriate and accurate Information from You and upon our having notified You by email that Your Application has been accepted, We shall provide You with use of the YOO.ID system.

6.2. We do not accept any liability for any error which may be encountered for reasons beyond Our control in Your using the FACE ID system, either when making a purchase, dealing with a Trader or otherwise.

6.3. We make no warranty in respect of the number or nature of stores, outlets or Traders who may use or recognise the YOO.ID system.

6.4. Subject as above, We will take reasonable care, in accordance with Our Obligations as a Data Processor, to protect Your Information and Data.

7. Your Obligations

7.1. You undertake to Us and warrant with Us so as to create a contractual liability to Us that all and any Information supplied by You to Us, whether in the Application or otherwise, is complete and accurate.

7.2. You acknowledge that the Contract between us is one of utmost good faith; that is to say, if You consider that You have Information which might affect Our decision as to whether or not to accept the Application by You, You will provide that Information to Us forthwith that You become aware of it.

7.3. You also undertake and warrant with Us so as to create a contractual liability to Us that You will provide full details of any change in Your contact details address or other Information supplied by You to Us immediately.

8. Fees for Membership

8.1. The Fee for access to the YOO.ID scheme is a one-off application fee of £199 (+ vat) which is payable when You submit the Application to US and £99 (+ vat) which covers access to the YOO.ID Scheme for a period of 6 months which is payable when You submit the Application to Us.

8.2. If We do not accept Your Application We will return 100% of the payment to You. Once your application is accepted no refunds will be offered.

8.3. Should You wish to renew Your Membership at the end of a period of 6 months, then if we have taken Direct Debit or card payment details from You, a further payment of £99 (+ vat) may be taken at the end of the 6 month period and Your Membership will in that case renew automatically, provided that We may at any time elect not to renew Your Membership at the expiry of any period of 6 months and We may make that decision without prior notice to You.

9. Voice Broadcasts

9.1. We shall send to the Contact Telephone regular Voice Broadcast Alerts and they will come from telephone number +448008886644.

9.2. We shall attempt to meet a broad range of requirements of the type of product or deals about which You may wish to hear.

9.3. We shall only provide Voice Broadcast Alerts to You from our Sponsors & Traders and they will be handled, controlled and broadcast by US only.

9.4. We shall not charge You for Our Voice Broadcast service (receiving alerts).

9.5 When receiving a Voice Broadcast Alert You can opt out at anytime by pressing 9 on your telephone keypad or by calling +448008886644 Your number will then be added to our Do Not Call (DNC) list and You acknowledge that opting out of receiving Voice Broadcast Alerts may impact your use of the Services.

10. Your Consent

10.1. By submitting the Application You have consented to receive Voice Broadcast Alerts to the Contact Telephone.

10.2. By designating the Contact Telephone You have consented to that phone being available to receive Voice Broadcast Alerts and that the Contact Telephone is in Your possession and use.

10.3. By submitting the Application You have consented to receiving such Voice Broadcast Alerts as We in Our discretion shall consider to be appropriate, except that at no time will any threatening or offensive material be included in any Voice Broadcast Alert.

11. No Warranties

11.1. It is not part of Our service to insure and We do not make any warranty as to the value, quality or suitability of any product or service which may be mentioned or alluded to in any Voice Broadcast Alert.

11.2. We do not make any warranty as to the skill or integrity of any person or organisation from or in respect of whom or which a Voice Broadcast Alert is sent to You.

11.3. In the event that You have any complaint as to a service or product You should take that complaint up with the person or organisation with whom You have dealt rather than Ourselves.

12. Regularity and Frequency of Voice Broadcast Alerts

12.1. We make no promises about how often We will send Voice Broadcast Alerts to the Contact Telephone nor as to the number of such Voice Broadcast Alerts. We can anticipate about 2 voice broadcasts per month with a duration of between 30 and 60 seconds.

12.2. We do not charge You for this service (receiving alterts) and in Our discretion We may restrict or withdraw the service at any time.

13. Acceptable Use Policy

14. Don’t Use YOO.ID Illegally

14.1. YOO.ID may only be used for lawful purposes in accordance with all laws, statutes and regulations in force from time to time in the United Kingdom (“Laws”).

14.2. You may not use YOO.ID to send, receive, store, distribute, transmit, post, upload or download any materials or data which:

• violates any Law;

• is defamatory, offensive, abusive, indecent, obscene, or constitutes harassment;

15. The Actions We Take

15.1. Firstly, you should be aware that we will block any electronic communication that we reasonably consider to have breached this AUP.

15.2. Secondly, if you have breached this AUP, or we or a third party, reasonably suspect that you may have breached this AUP we will notify you by email (provided that this notification does not prejudice any investigation) and we may also:

(a) immediately suspend your access to YOO.ID until such time as we are satisfied the breach has stopped;

(b) immediately end your YOO.ID Contract;

(c) notify and/or pass on the details of the breach of the AUP to any relevant government, statutory, self-regulatory or law enforcement authority;

(d) investigate the alleged breach of the AUP, which may include gathering information from you and/or the complaining party (if any) and the examination of any other data or material on the YOO.ID network or our servers;

(e) remove (either temporarily or permanently), copy, store, monitor or otherwise deal with data and/or other material on the YOO.ID network and/or our servers; or

15.3. YOO.ID will use your personal data and other account information in connection with any investigation carried out by YOO.ID in accordance with this AUP, including by disclosing it to any third party authority that YOO.ID considers has a legitimate interest in any such investigation or its outcome.

16. Advertising and Publicity Material

16.1. In Our discretion We may provide advertising or publicity material to You.

16.2. You acknowledge that any advertising or publicity material supplied to You may not be used by You or passed on to any third parties without Our consent.

17. Intellectual Property

17.1. You acknowledge that the Intellectual Property in the YOO.ID Scheme is owned by Us.

17.2. You acknowledge and contract that You will not use or copy the YOO.ID Scheme or any material, publicity or information connected with it without Our express consent in writing.

18. Extent of Our Liabilities

18.1. In the case of any breach or alleged breach by Us to You of our Obligations to You under the Contractual relations between us, the extent of Our Liability shall in any event be limited to the amount of the annual Membership Fee last paid by You.

18.2. We shall not in any event be liable for any consequential losses to You in respect of any breach by Us.

18.3. We make no warranty as to the extent to which the Website or the Directory is publicised or accessible on the internet or otherwise.

19. Limitation of Liability

19.1. In the event that We do not accept Your Application, there will be no Contract between us and We will have no liability for any Loss arising.

19.2. We will not be liable for any Loss if, by reason of local or regulatory prohibitions or restrictions, You are unable to use the YOO.ID Scheme.

19.3. Our liability for negligence, breach of Contract or any other matter is limited to reimbursing any sums paid by You for the YOO.ID system.

20. Entire Agreement

20.1. The provisions of these Terms and Conditions, together with the duly completed Application by You and Our acceptance of it, shall constitute the entire Contract between Us and You.

20.2. You accept and understand that You have not placed reliance upon any representations or statements, whether pre-contractual or otherwise, made by Us or on Our behalf, nor has any Side Agreement been entered into in respect of the Contract between You and Us.

21. Force Majeure

21.1. You understand and acknowledge that in the case of any circumstances beyond Our control which may make it impossible, or limit Our ability, to maintain the YOO.ID system, We shall not be liable to You for any losses in relation to the same.

21.2. You further acknowledge that in the case of any legal issues arising which may prevent or limit Our ability to provide the YOO.ID system or to maintain Your Membership of it, We shall not be liable for any liability arising to You as a result.

22. Jurisdiction and Governing Law

22.1. It is agreed that the Courts of England and Wales shall have sole Jurisdiction in respect of any matters arising between You and Us and the Governing Law in each case shall be the Law of England and Wales.

VERIFIERS OBLIGATIONS:

1. All verifiers must be aged 25 or older, in full time employment in the UK (cannot be self employed, retired or working from home) must be contactable during office hours on a work landline telephone and at a registered business address. The verifier must not be a legal guardian or carer, related by birth or marriage, in a personal relationship with the applicant or live at the same address as the applicant.

1.2 A verifier can only support a ‘Route 1’ verification by certifying that an applicant’s details supplied on the application form match the applicant’s details held on the verifier’s organisation’s official records.

1.3 A ‘Route 1’ verifier must be one of the following and must be known to the applicant:

Teacher/Tutor/Head of Year/Administrator at their School/College/University
Doctor/Dentist/Nurse/Administrator at their GP or dental surgery
Certified Solicitor/Prison Officer/Social Worker/Probation Officer/Job Centre advisor, Connexions adviser; or
a Bank/Building Society staff at their branch. If the applicant is employed by any of the above or employed by a Local Authority, then they can be verified from their personnel records.

1.4 The verifier must complete all parts of the ‘Electronic Verifiers Form’ correctly, complying fully with the requirements set out and agreeing to sign an e-signature for the biometrics of the applicant, for consent that he or she acknowledges that providing false information is a criminal offence under the terms of the Fraud Act 2006, and for a ‘Route 2’ application countersigning a photocopy of the original ID.

1.5 Provision of false information includes falsifying any of the information supplied within the ‘Electronic Verifier Declaration’, knowingly countersigning a photocopy of fake or forged ID, knowingly certifying the biometrics of an applicant as a true likeness when this is not so, knowingly certifying that the applicant’s details on the application form match the verifier’s organisation’s official records when this is not so, or knowingly certifying that the applicant is the person to whom the records relate to when they are not.

1.6 A verifier can only support a ‘Route 2’ application if they are a professionally-qualified person such as:

Accountant/Bank/building society official/Barrister/Broker/
Chairman/Director of a limited company/Chemist/Councillor: local or county/Civil servant (Established/permanent)/
Dentist/Doctor/Designated Premises Supervisors/Director/Manager of a VAT registered Charity/
Director/Manager/Personnel Officer of a VAT registered company/Engineer (with professional qualifications)/
Funeral director/Journalist/Legal secretary/Local Government officer/
Manager/Personnel officer (of limited company)/Member of Parliament/Minister of a recognised religion/
Nurse (RGN and RMN qualified)/Optician/Personal Licensee Holder(s)/Police officer/
Post Office official/Salvation Army officer/Social worker/Solicitor/Surveyor/
Teacher, Lecturer (do not use during academic half term)

1.7 If the verifier supporting a ‘Route 2’ application process does not know the applicant personally, they must countersign a photocopy of the applicant’s original photographic ID: either a passport or driving licence or EU national identity card or a Card bearing the PASS hologram or Home Office approved photo ID.

1.8 If the verifier supporting a ‘Route 2’ application does know the applicant personally, they can countersign a photocopy of the applicant’s original non-photographic ID: either a birth certificate, certified copy of a birth certificate, NHS Medical Card, CRB (Criminal Records Bureau) Check document or European Health Insurance Card.

1.9 If the verifier cannot be contacted during the day on a landline telephone at their workplace or they are unwilling to confirm the information supplied in the ‘Electronic Verifiers Form’ the application will be put on hold and an email will be sent to the applicant to request the details of a new verifier. The application will not be processed until a new verifier is given.
